These Client Terms and Conditions (the “Terms”) govern access to and use of the OUTRCH platform and related services (the “Services”) by the business that has signed an Order Form or other written agreement with OUTRCH (the “Client”). Together with the applicable Order Form and any product-specific terms, these Terms form the “Agreement”.
By accessing the Services, the Client accepts these Terms. If the person accepting is doing so on behalf of a business, they confirm they are authorised to bind that business.
011. The Services
OUTRCH provides a hospitality platform for reservations, waitlist and table management, guest profiles, guest communications, reporting and related functionality. The specific modules made available to the Client are those identified in the Order Form.
OUTRCH may improve, add to or modify the Services provided it does not materially reduce the functionality the Client has contracted for during the term.
OUTRCH grants the Client a non-exclusive, non-transferable right to access and use the Services during the term for its own internal business purposes at the venues identified in the Order Form.
022. Client responsibilities
033. Guest data and ownership
As between the parties, the Client owns the guest data it collects through the Services. OUTRCH processes that data on the Client’s behalf in order to provide the Services and in accordance with the Data Processing Addendum.
OUTRCH does not sell guest data. OUTRCH may use aggregated and de-identified information that does not identify the Client or any individual to operate, secure, benchmark and improve the Services.
On termination, the Client may export its guest data through the Services for the period stated in the Order Form or, if none is stated, for at least thirty (30) days after termination.
044. Commercial model
OUTRCH’s only compensation under the Agreement is (a) a fixed fee per eligible guest and (b) a commission on the amount paid. The exact amounts are stated only in the signed agreement or Order Form. There is no subscription, licence, setup, implementation, add-on, annual, recurring, prepaid, per-message or renewal-rate charge of any kind, and no other OUTRCH fee applies.
Amounts become payable as described in the Order Form, calculated from the platform’s records of eligible guests and amounts paid. OUTRCH makes the underlying reporting available to the Client so it can verify each amount.
Any change to the per-guest fee or the commission requires a written amendment or a new Order Form signed by both parties. No unilateral notice, deemed acceptance or automatic percentage increase applies.
Taxes, levies or charges imposed by a government authority, and charges imposed by a third party such as a payment processor or telecommunications provider, are paid directly to that government authority or third party. They are not OUTRCH compensation and OUTRCH does not add a margin to them.
055. Term and termination
The duration of the Agreement, any extension and the rights of each party to terminate are only as stated in the applicable signed agreement or Order Form. There is no default fixed term and no automatic continuation.
Either party may terminate for material breach that remains uncured thirty (30) days after written notice. On termination, the Client’s right to access the Services ends and each party returns or deletes the other’s confidential information, subject to the export period in section 3 and to any legal retention requirement.
066. Confidentiality
Each party will protect the other’s confidential information with at least reasonable care, use it only to perform the Agreement, and disclose it only to personnel and advisers who need it and are bound by equivalent obligations. This does not apply to information that is public through no fault of the recipient, independently developed, or required to be disclosed by law.
077. Intellectual property
OUTRCH and its licensors retain all rights in the Services, the platform software, documentation and the OUTRCH brand. The Client retains all rights in its own content, brand and guest data. Feedback the Client provides may be used by OUTRCH without restriction or obligation.
088. Security
OUTRCH maintains an information security programme with administrative, technical and physical safeguards appropriate to the nature of the data processed, including access control, encryption in transit, logging, vulnerability management and personnel training. OUTRCH notifies the Client without undue delay after becoming aware of a personal data breach affecting Client data.
099. Availability and support
OUTRCH aims to keep the Services available at all times other than planned maintenance and events outside its reasonable control, and provides support by email at info@outrch.net. Any specific service level commitment applies only if it is set out in the signed agreement or Order Form.
1010. Warranties and disclaimers
Each party warrants that it has the authority to enter into the Agreement. OUTRCH warrants that the Services will be provided with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and OUTRCH disclaims all other warranties to the extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose.
1111. Limitation of liability
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising out of the Agreement. Each party’s total aggregate liability is limited to the amounts paid or payable by the Client to OUTRCH in the twelve (12) months preceding the event giving rise to the claim. These limits do not apply to a party’s liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.
1212. Indemnities
OUTRCH will defend the Client against third-party claims that the Services infringe that third party’s intellectual property rights, and will pay the resulting damages finally awarded. The Client will defend OUTRCH against third-party claims arising from the Client’s content, its venue operations or its use of the Services in breach of the Agreement. Each indemnity is conditional on prompt notice, reasonable cooperation and control of the defence.
1313. Data protection
Where OUTRCH processes personal data on the Client’s behalf, the Data Processing Addendum applies and forms part of the Agreement. Where OUTRCH processes personal data as a controller, the Privacy Policy applies.
1414. Publicity
Neither party will use the other’s name, logo or marks in publicity without prior written consent, except that OUTRCH may identify the Client as a customer in a customer list where the Client has agreed in the Order Form.
1515. Changes to these Terms
OUTRCH may update these Terms to reflect changes to the Services or to legal requirements, and will post the updated version on this page with a new update date. Changes never affect the per-guest fee or commission, which can only change by signed amendment as described in section 4. If a change materially reduces the Client’s rights, OUTRCH will give reasonable prior notice and the Client may terminate before it takes effect.
1616. General
The Agreement is governed by the governing law stated in the applicable signed agreement or Order Form and, in the absence of such a term, by applicable law. Disputes are resolved through the mechanism and venue stated in that signed agreement, or otherwise before the courts that have jurisdiction under applicable law.
Neither party may assign the Agreement without the other’s consent, except to a successor of all or substantially all of its business. If a provision is held unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. Sections that by their nature should survive, including confidentiality, intellectual property, limitation of liability and the payment of amounts already accrued, survive termination or expiration.
OUTRCH is an independent company. OUTRCH is not affiliated with, and is not a subsidiary of, any delivery marketplace.
