These Product and Service-Specific Terms supplement the Main Services Agreement or Client Terms & Conditions between OUTRCH and the Client (the “Agreement”). They apply only to the products the Client has enabled. If there is a conflict, these terms control for the product concerned.

None of the products described here carries a separate charge. OUTRCH’s only compensation remains the fixed fee per eligible guest and the commission on the amount paid, as stated in the signed agreement or Order Form. There are no tiers, upgrades, add-ons, message bundles or usage upcharges.

01A. Reservations, waitlist and table management

The Client is responsible for the availability, capacity, seating rules and cancellation policy it configures. OUTRCH transmits booking requests and confirmations but is not a party to the arrangement between the Client and its guest and does not guarantee guest attendance.

Where the Client enables prepayment or a card-on-file policy for reservations, the Client sets the amount and the conditions and is responsible for applying them fairly and in line with consumer law. Payments are processed by the Client’s payment provider; OUTRCH does not hold client or guest funds and takes no share of a cancellation or no-show charge.

02B. Events and experiences

The Client defines each event, its inclusions, its capacity and its refund policy, and is responsible for fulfilling what it advertises. Where guests purchase tickets or deposits, the funds are collected by the Client’s payment provider and settled to the Client.

03C. Guest messaging (email and SMS)

The Client is the sender of every marketing message it creates and is responsible for having a lawful basis and, where required, prior consent. Every marketing message must identify the Client and provide a working unsubscribe mechanism.

Transactional messages, such as booking confirmations and reminders, may be sent on the basis of the reservation itself. Enquiry data submitted by a prospective guest may be used only to answer that enquiry, unless the individual has separately and affirmatively opted in to marketing.

OUTRCH applies no per-message charge. Where a telecommunications carrier imposes a charge for message delivery in a particular country, that charge is payable directly to the carrier and is not OUTRCH compensation.

OUTRCH may suspend messaging that generates abuse complaints, breaches carrier rules, or appears to be sent without consent, and will tell the Client why.

04D. Email marketing

Email marketing is included in the platform. There is no subscription tier, contact-count tier, send volume tier or upcharge. The Client remains the controller of its guest list, may export it at any time, and is responsible for list hygiene and for honouring unsubscribe requests promptly.

05E. Reviews and reputation

Where the Client enables review collection, invitations are sent only to guests with an attended reservation. The Client must not filter, suppress or incentivise reviews in a way that misleads consumers. OUTRCH may remove content that is unlawful, fraudulent or not based on a genuine visit.

06F. Booking channels and integrations

The Client may connect the Services to third-party booking channels, point-of-sale systems and other tools. Each third party operates under its own terms and its own privacy practices, and OUTRCH is not responsible for the availability, accuracy or acts of that third party.

Where a booking channel charges the Client a cover fee, commission or listing fee, that amount is owed to the channel, not to OUTRCH, and OUTRCH does not add a margin to it.

The Client authorises OUTRCH to exchange the reservation, availability and guest contact data necessary to operate the connection the Client has enabled, and may disable any connection at any time.

07G. Reporting and guest intelligence

Reporting is generated from the Client’s own data and is provided for the Client’s internal use. OUTRCH may use aggregated, de-identified data that identifies neither the Client nor any individual to produce benchmarks and improve the Services.

08H. Beta and early-access features

Features labelled beta or early access are optional, provided “as is”, may change or be withdrawn, and carry no service level commitment. They never carry a charge.

09I. Automated and AI-assisted features

Some features generate suggested text or recommendations automatically. Output may be inaccurate and must be reviewed by the Client before it is sent to a guest or relied upon. The Client remains responsible for anything it publishes or sends. OUTRCH does not use Client guest data to train models made available to other clients.

10J. Acceptable use

  • Do not use the Services to send unlawful, deceptive or harassing content.
  • Do not upload guest data obtained without a lawful basis.
  • Do not attempt to circumvent access controls, rate limits or security measures.
  • Do not use the Services to build a competing product or to benchmark for a competitor.
